Terms & Conditions

These terms govern your use of the H.A.L. website and application, provided by Cadence Limited (“we”, “us”). By creating an account or using the service you agree to them. For negotiated enterprise agreements, a separate Master Subscription Agreement takes precedence.

1. The service

H.A.L. is a business CRM for the payments industry. We provide it on a subscription basis and may improve or change features over time. It is a business-to-business service, not a consumer product.

2. Accounts

You are responsible for your account, your users, and keeping credentials secure. You must give accurate information and be authorised to bind your organisation.

3. Trial, subscription & fees

The trial is free for the stated period. Paid plans are charged per seat as set out on our pricing page or your order form. Fees are billed in advance and are non-refundable except where required by law. We may change pricing on renewal with reasonable notice.

4. Acceptable use

You must not misuse the service — no unlawful activity, no attempts to breach security or tenant isolation, no reselling without authorisation, and no uploading of content you have no right to process.

5. Your data & intellectual property

You keep all rights in the data you upload (“Customer Data”); you grant us the rights needed to host and process it to provide the service, as set out in our Data Processing Agreement. We keep all rights in the platform itself. We do not sell your data, and we do not use it to train third-party AI models.

6. Availability & support

We aim for high availability and provide support per our Service Level Agreement, but the service is provided “as is” to the extent permitted by law. Planned maintenance will be communicated where practical.

7. Liability

Nothing limits liability that cannot be limited by law. Otherwise, our total liability is capped at {{[[liability cap — CONFIRM]]}}, and we are not liable for indirect or consequential loss, or loss of profit or data beyond our reasonable control.

8. Termination

You may cancel at any time; access continues to the end of the paid period. We may suspend or terminate for material breach or non-payment. On termination you can export your Customer Data for a limited window, after which it is deleted per our retention policy.

9. Governing law

These terms are governed by the laws of the Isle of Man, and its courts have exclusive jurisdiction.
